The Services are operated by Teraleads LLC FZ, a company incorporated in Dubai, United Arab Emirates, doing business as Zoie (“Zoie,” “we,” “us,” or “our”).
By creating an account, clicking acceptance, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
You must be at least 18 years old to use the Services.
If you use the Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Zoie provides technology tools only. Zoie does not provide legal, medical, compliance, financial, or professional advice.
You acknowledge and agree that:
Zoie is not a party to, and bears no responsibility for, your relationships with your customers, leads, or end users.
You must provide accurate and complete information when creating an account.
You are responsible for:
You agree to implement reasonable security measures, including enabling multi-factor authentication where available.
“Customer Data” means all data, content, leads, recordings, messages, and information processed through the Services by you or on your behalf.
You retain ownership of Customer Data. Zoie acts solely as a service provider or processor with respect to Customer Data.
You represent and warrant that:
Zoie does not verify consent and is not responsible for Customer Data legality.
Telecommunications and Messaging Services
The Services may include access to telecommunications and messaging features, including but not limited to:
Zoie does not operate as a telecommunications carrier. All communications services are provided through third-party carriers, aggregators, and messaging providers (collectively, “Telecom Providers”).
Zoie does not control the availability, quality, routing, delivery, or content filtering of any communications transmitted via Telecom Providers.
You acknowledge and agree that:
You represent and warrant that you have obtained all legally required consents prior to contacting any individual using the Services, including:

Your use of the communications features is subject to:

If Zoie provisions phone numbers or sender identifiers on your behalf:

Zoie is not responsible for loss of numbers due to carrier policies, regulatory actions, or your non-compliance.
Communications features may incur usage-based fees, including but not limited to:
Such charges may vary by destination, carrier, and message type and are non-refundable, regardless of delivery outcome.
Zoie does not guarantee message or call delivery.
Zoie reserves the right to:
Such actions may be taken without prior notice where required to comply with carrier, legal, or security obligations.
You acknowledge that:
Zoie does not assume liability for claims arising from automated or AI-generated calls initiated using the Services.
You agree to indemnify and hold harmless Zoie from any claims, fines, penalties, or damages arising from:
Zoie offers optional AI-powered voice agents and messaging agents.
You acknowledge that:
Zoie does not guarantee outcomes, accuracy, or conversions.
You agree to disclose to end users when they are interacting with AI-based systems where required by law.
Zoie does not use Customer Data to train generalized or public AI models.
You may not use the Services to:
Zoie may suspend or terminate accounts engaging in prohibited use.
You are solely responsible for:
If Zoie receives a data rights request related to your Customer Data, Zoie may redirect it to you.
You are responsible for all legally required breach notifications related to Customer Data under your control.
You agree to pay all applicable subscription fees, usage-based charges, and add-ons.
Zoie may modify pricing with reasonable notice.
The Services may integrate with third-party platforms.
Zoie:
Your use of third-party services is at your own risk and subject to their terms.
Zoie retains all rights to the Services, including software, AI systems, trademarks, and documentation.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services during your subscription.
You may not copy, resell, sublicense, or reverse engineer the Services.
Zoie may offer beta or experimental features.
Such features are provided “as is”, without warranties, and may be modified or discontinued at any time.
You may cancel your account at any time. Cancellation does not entitle you to refunds.
Zoie may suspend or terminate access if:
Zoie may delete Customer Data after a reasonable retention period.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOIE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
You agree to indemnify and hold harmless Zoie from claims arising out of:
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.
Any dispute arising from these Terms shall be resolved by binding individual arbitration, not in court.
You waive the right to participate in class actions, collective actions, or representative proceedings.
Arbitration shall be conducted under recognized international arbitration rules in a mutually agreed venue.
Zoie may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
